Terms of Service

01The Services

Dispatch provides intelligence-led marketing strategy, research, content, and campaign services. Certain features of the Services allow authorized clients to connect third-party accounts — such as Instagram, Facebook, TikTok, Shopify, and Google — so that Dispatch can publish approved content and retrieve performance analytics on the client’s behalf.

The Services are currently offered to clients onboarded directly by Dispatch. Public self-serve registration is not available at this time.

02Eligibility and authority

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to that entity.

03Connected accounts and third-party platforms

• Authorization. Connecting an account requires your explicit authorization through the platform’s own OAuth flow. By connecting an account, you grant Dispatch permission to perform the actions you authorize, such as publishing content you approve and reading analytics for that account.
• Platform terms apply. Your use of Instagram, Facebook, TikTok, Shopify, Google, and other platforms is governed by those platforms’ own terms and policies, and you agree to comply with them. We are not responsible for a platform’s availability, actions, policy changes, API changes, or account enforcement decisions, including suspension of your account.
• Revocation. You may disconnect an account at any time, which ends our access going forward.
• No platform endorsement. The Services are independent and are not endorsed by, sponsored by, or affiliated with TikTok, Meta, Shopify, Google, or any other platform, except as those platforms state themselves.

04Client content

• Your content. You retain all rights to the text, images, video, brand assets, and other materials you provide or approve for publication (“Client Content”).
• License to us. You grant Dispatch a non-exclusive, worldwide, royalty-free license to host, reproduce, modify for formatting, publish, and display Client Content solely as needed to provide the Services — for example, posting it to your connected accounts at your direction.
• Your warranties. You represent that you own or have all necessary rights to Client Content, and that it does not infringe any third party’s rights, violate any law, or breach any platform’s rules.

05Acceptable use

You agree not to:

• Use the Services for any unlawful, deceptive, or harmful purpose
• Publish or distribute content that is infringing, defamatory, harassing, or otherwise objectionable
• Attempt to access accounts, data, or systems you are not authorized to access
• Reverse engineer, scrape, or interfere with the Site or its security features
• Use the Services to violate the terms of any connected third-party platform

We may suspend or terminate access for violations of this section.

06Our intellectual property

The Site, its design, text, graphics, logos, and underlying software — excluding Client Content and third-party materials — are owned by Dispatch and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Services for their intended purpose. No other rights are granted.

07Fees

Fees, payment terms, and scope of work for client engagements are set out in a separate written agreement or statement of work between you and Dispatch. If these Terms conflict with a signed engagement agreement, the engagement agreement controls for that engagement.

08Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that marketing activities will achieve any particular result, reach, or revenue.

09Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

10Indemnification

You agree to indemnify and hold harmless Dispatch and its officers, employees, and contractors from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your Client Content, your misuse of the Services, or your violation of these Terms or any third-party platform’s terms.

11Termination

You may stop using the Services at any time. We may suspend or terminate access to the Services at any time, with or without notice, for conduct that violates these Terms or is harmful to other users, to us, or to third parties. Sections that by their nature should survive — including 6, 8, 9, 10, and 12 — survive termination.

12Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and the parties consent to their jurisdiction.

13Changes to these Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest revision. If changes are material, we will provide notice on the Site or by email where appropriate. Continued use of the Services after changes take effect constitutes acceptance.
